ZM API Terms of Service

Please read these Terms carefully before using ZM API.
These Terms form a binding agreement between you (“Customer”) and ZM API Pte. Ltd. (“ZM API”). By accessing the dashboard, APIs, SDKs, or related services (the “Services”), you agree to these Terms and to our Privacy Policy.
- Eligibility & Account Security. You must be at least 18 and authorized to bind your organization. Maintain accurate account information and safeguard credentials. You are responsible for activity under your account.
- Permitted Use. Use the Services only for lawful purposes, in compliance with applicable laws (including data protection, export, and sanctions rules), and subject to your agreements with third parties whose platforms or data you access. You must respect rate limits, avoid abusive traffic, and not engage in fraud, spam, or unauthorized automation. High-risk content (hate, harassment, child exploitation, malware, phishing, violence, IP infringement) is strictly prohibited.
- Data Handling. You are the controller of data you send to or receive from the Services. You will provide any required notices and obtain necessary consents. Do not submit sensitive personal data unless required and permitted by law. You will honor deletion or access requests that you receive from data subjects and pass them through to us when they concern data we process for you.
- Service Levels & Support. We target high availability and performant responses. Planned maintenance will be announced when feasible. Support is provided via the dashboard channels; higher tiers may include dedicated response targets as described in your plan.
- Fees & Payments. Fees are stated in your plan or order and may be usage-based. You authorize us (and our payment processors such as Stripe or PayPal) to charge all due amounts to your provided payment method. Card and wallet data are processed directly by our PCI-DSS compliant payment processors; we do not store full card numbers. Late amounts may incur reasonable collections costs and service suspension. Except as described in Refunds & Cancellation, fees already incurred remain payable and are generally non-refundable.
- Refunds & Cancellation. Customers may request a refund within 7 days of a charge for unused Services. Requests are reviewed case-by-case; fees already charged are generally non-refundable unless required by law or expressly approved by us. Eligible scenarios include duplicate charges, clearly erroneous billing, or paid periods where the Services were unavailable. Charges for consumed usage, completed setup work, or breach-related suspensions are not refundable. To start a request, email support at [email protected] with evidence of the issue. Approved refunds are processed to the original payment method within 7–14 business days. Subscription cancellations take effect at the end of the current billing cycle unless we confirm earlier termination in writing. For any billing dispute or chargeback/PayPal claim, you agree to contact us first and allow us to investigate before escalating to your payment provider.
- No Sale of Personal Data. ZM API does not sell customer personal data.
- Intellectual Property. ZM API owns all rights in the Services and related materials. You receive a limited, non-exclusive, non-transferable license to access the Services for your internal business purposes during the Term. You retain rights to your data and content you submit.
- Third-Party Platforms. Some features may interact with external platforms. You must have the rights to access those platforms and will comply with their terms and policies (including rate limits, data-use rules, and automation restrictions). Do not use the Services in a way that would cause you or us to violate any platform’s terms. You are responsible for any tokens or keys you provide. ZM API is not liable for changes or outages of third-party services.
- Confidentiality. Each party will protect the other’s confidential information with the same care it uses for its own. Confidentiality obligations do not apply to information that is public, already known, independently developed, or rightfully received without duty of confidence.
- Security. We implement administrative, technical, and physical safeguards appropriate to the nature of the Services. You must keep API keys secret and promptly notify us of any suspected compromise.
- Warranties & Disclaimers. The Services are provided “as is.” To the fullest extent permitted by law, ZM API disclaims all implied warranties (merchantability, fitness for a particular purpose, non-infringement). We do not guarantee uninterrupted or error-free operation.
- Indemnification. You will defend and indemnify ZM API against third-party claims arising from your use of the Services in violation of these Terms or applicable law, or from your content and data.
- Limitation of Liability. To the extent allowed by law, ZM API’s aggregate liability arising out of these Terms is capped at the greater of (a) amounts paid by you to ZM API in the 12 months before the claim or (b) USD 500. ZM API is not liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, data, or goodwill.
- Term, Suspension, and Termination. These Terms begin when you first use the Services and continue until terminated. Either party may terminate for convenience with written notice if no fixed-term order applies, or for material breach after a 30-day cure period. We may suspend or disable access immediately for security risk, non-payment, or violation of these Terms.
- Compliance & Export. You represent you are not located in, under control of, or a national/resident of any restricted country or denied party list. You will not use the Services for prohibited end-uses.
- Changes to the Services or Terms. We may update the Services and these Terms. If changes are material, we will provide notice through the dashboard or email. Continued use after the effective date constitutes acceptance.
- Governing Law & Dispute Resolution. This agreement is governed by the laws of Singapore, excluding conflict-of-law rules. Before initiating arbitration, you must first contact support at [email protected] and allow 30 days for good-faith resolution via support channels. If unresolved, disputes will be submitted to confidential arbitration under SIAC Rules by one arbitrator seated in Singapore. Either party may seek injunctive relief in any competent court.
- Notices. We may send notices to the email on your account or via the dashboard. You may send legal notices to [email protected].
- Entire Agreement. These Terms, any plan or order, and the Privacy Policy constitute the entire agreement and supersede prior discussions. If any provision is unenforceable, the remainder stays in effect.
